Terms of Use

Introduction

These Terms of Use ("Terms") are a legal agreement between you and Kondago Solutions Limited ("Kondago Solutions", "Gredli", "we", "us" or "our"), governing your access to and use of the Gredli mobile application, web application (app.gredli.com), and website (gredli.com), collectively the "Service".

By creating an account, registering a school, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use Gredli.

Who can use Gredli

Gredli is intended for use by teachers and school administrators managing assessments for primary, junior and senior school learners. By registering an account, you confirm that you are a teacher or authorised representative of the school you are registering.

School registration and admins

• Any teacher may register a school on Gredli.
• The teacher who registers a school automatically becomes that school's administrator.
• A school may have a maximum of 2 administrator accounts at any time.
• Administrator access may be reassigned to a different teacher at the school's request, subject to verification.
• The school administrator is responsible for managing which teachers have access to the school's account.

Consent on behalf of parents

Parents and guardians do not currently create their own Gredli accounts. Phone numbers for parents are added to the system by the school, and are provided directly and voluntarily by the parent or guardian to the school for this purpose.

By registering a school and adding learner and parent information to Gredli, the registering teacher confirms, on behalf of the school, that:

• The school has authority to enrol its learners' assessment data on Gredli
• Parent or guardian phone numbers have been obtained directly from the parent or guardian, with their knowledge that they will be used for SMS communication regarding assessment results, payments and school announcements
• The school accepts these Terms and the Privacy Policy on behalf of itself and, where applicable, on behalf of the parents whose contact information is added to the Service

This arrangement may change in the future if parent accounts are introduced. Schools will be notified of any such change.

Free tier and branding

Gredli offers a free tier that allows a school to create assessments, enter and publish marks, perform basic assessment analysis, and generate merit lists and report forms at no cost.

• Report forms and merit lists generated under the free tier will include the Gredli name, a link to the Gredli app, and brief promotional text in the footer of the document.
• This branding is removed on report forms and merit lists generated under a paid plan.
• The free tier has no time limit and does not require payment information to use.

Paid tier and trial

The paid tier unlocks full class-level performance analysis, bulk SMS to parents, push notifications, lesson plans, class notes, assessment papers, and removes branding from report forms and merit lists.

Trial period

• Every newly registered school receives a trial of the full paid tier.
• The trial lasts one school term, defined as three months from registration.
• The trial includes 3 assessment creations with full paid-tier access.
• If fewer than 3 assessments are created within the trial term, the remaining assessment allowance carries forward and remains available for use after the term ends.
• The trial ends once both the three month period has elapsed and all 3 trial assessments have been used. At that point, the school will be moved to the Free tier unless it chooses to subscribe to a paid plan.

Payments

• Paid plans are billed per learner, per term, at rates published on our Pricing page, which may vary by school level (primary, junior or senior).
• Payment is collected through M-Pesa, using the Safaricom Daraja API. A payment prompt is sent to the phone number provided by the school.
• Prices are subject to change. Any change will apply from the following billing term and will be communicated in advance.
• Fees already paid for a current term are non-refundable, except where required by law.

Acceptable use

You agree not to:

• Use Gredli for any unlawful purpose or in violation of any applicable law, including Kenyan data protection law
• Enter false, misleading, or fabricated learner data
• Attempt to gain unauthorised access to another school's account or data
• Interfere with or disrupt the operation of the Service
• Reverse engineer, copy, or resell the Service without our written permission
• Use the Service to send SMS communications to parents who have not provided their number for that purpose

Data ownership

Data entered into Gredli by a school, including learner records, marks and assessments, remains the property of that school. Gredli acts as a processor of this data to provide the Service, as described in our Privacy Policy. Schools may request export or deletion of their data as described in the Privacy Policy.

Service availability

We aim to keep Gredli available and reliable, including offline functionality for marks entry. However, we do not guarantee uninterrupted access to the Service, and features dependent on third parties, such as SMS delivery, push notifications, and M-Pesa payments, depend in part on the availability of those third-party services.

Limitation of liability

Gredli is provided on an "as is" and "as available" basis. To the maximum extent permitted by Kenyan law, Kondago Solutions Limited shall not be liable for indirect, incidental, or consequential damages arising from use of the Service, including but not limited to loss of data, loss of income, or disruption to a school's operations. Nothing in these Terms limits liability that cannot be excluded under Kenyan law.

Suspension and termination

• We may suspend or terminate a school's access to Gredli if these Terms are violated, including for fraudulent payment activity or misuse of parent contact information.
• A school may stop using Gredli at any time. Data will be archived for 12 months following account closure, after which it will be permanently deleted, as described in our Privacy Policy.

Changes to these terms

We may update these Terms from time to time as Gredli evolves. Material changes will be communicated to registered schools, and continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from these Terms or use of the Service will be subject to the jurisdiction of the courts of Kenya.
